Saudi Arabia Tightens Franchise Compliance: 6 Areas Businesses Should Watch

Saudi Arabia’s Ministry of Commerce has reinforced the importance of complying with the Commercial Franchise Law and its Executive Regulations, highlighting six key areas where franchisors and franchisees can face violations.

Among the important requirements are:

• Registering the franchise agreement and disclosure document within 90 days of signing.
• Providing the franchisee with the disclosure document at least 14 days before signing or making any payment, whichever comes first.
• Registering amendments to franchise agreements within the required timeframe.
• Requesting cancellation of the registration following expiry, termination, or relevant court decisions.
• Meeting the required operating history before offering or granting franchises.
• Following the applicable requirements when granting franchises or sub-franchises in Saudi Arabia.

Why does this matter?

Saudi Arabia continues to attract international brands and franchise operators, but entering the market is not simply about finding a franchise partner and signing an agreement.

The structure, disclosure process, registration, timelines, and ongoing compliance all matter.
